AXENTER AS (“Licensor”) grants the Customer (“Licensee”) a non-exclusive, non-transferable, and limited license to use the Svea Finans Integration for Microsoft Dynamics 365 Finance & Operations (“Software”) within the Licensee’s own Dynamics 365 Finance & Operations environments. The Software may only be used for the internal business operations of the Licensee.
The Licensee shall not: copy, modify, or create derivative works of the Software; reverse engineer, decompile, or disassemble the Software; rent, lease, sublicense, or distribute the Software to third parties; or use the Software in violation of applicable laws or Microsoft licensing terms.
The Software is licensed, not sold. AXENTER AS retains all rights, title, and interest, including intellectual property rights, in and to the Software.
Support and maintenance services are provided separately under a valid support agreement between the Licensee and AXENTER AS. This License Agreement does not entitle the Licensee to any updates, upgrades, or technical support unless otherwise agreed in writing.
The Software is provided “AS IS”, without warranties of any kind, either express or implied. AXENTER AS disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, AXENTER AS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. The total aggregate liability of AXENTER AS under this Agreement shall not exceed the amount paid by the Licensee for the Software during the twelve (12) months preceding the claim.
This Agreement remains in effect until terminated. AXENTER AS may terminate this Agreement if the Licensee fails to comply with its terms. Upon termination, the Licensee must cease all use of the Software and remove all copies from its systems.
This Agreement shall be governed by and construed in accordance with the laws of Norway. Any disputes shall be subject to the exclusive jurisdiction of the courts of Oslo, Norway.
This License Agreement constitutes the entire agreement between the parties with respect to the Software and supersedes all prior understandings, whether written or oral.
